1. Acceptance of Terms

Welcome to commandAGI. These Terms of Service ("Terms") govern your access to and use of the commandAGI platform, website, APIs, and services (collectively, the "Service") provided by commandAGI ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Upload content that infringes any intellectual property or proprietary rights
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to send spam or unsolicited commercial messages
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated means (bots, scrapers, etc.) to access the Service without our express written permission

5. User Content

You retain ownership of any content you upload to the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and process your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights or applicable laws.

6. API Usage

If you access the Service through our API, you agree to the following additional terms:

• You will not exceed the rate limits associated with your plan
• You will not share your API keys with third parties without our written consent
• You will implement reasonable security measures to protect your API keys
• You will comply with any additional API documentation and guidelines we provide

7. Annotation Marketplace

If you use our annotation marketplace, the following terms apply:

• For Requesters: You agree to fund your projects in advance. Funds are non-refundable except in cases of Service failure. You are responsible for ensuring your annotation tasks comply with all applicable laws.
• For Annotators: You agree to provide accurate, good-faith annotations. We reserve the right to remove annotators who consistently provide low-quality work or violate our guidelines.
• Platform Fee: We charge a platform fee (default 20%, configurable per project) on all marketplace transactions.

8. Fees and Payment

Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page. Fees are charged in advance on a monthly or annual basis depending on your plan.

• All fees are non-refundable except as required by law
• We may change our fees upon 30 days' notice to you
• You are responsible for all taxes associated with your use of the Service
• Failure to pay may result in suspension or termination of your account

9. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of commandAGI and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TASTE OPTIMIZER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Taste Optimizer and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us at support@commandAGI.com.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and commandAGI concerning the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.
